Acceptance of Terms
By accessing and using Indeelancer, you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our platform.
Platform Description
Indeelancer is a freelance marketplace platform that connects clients with freelancers for various projects and services. We provide the platform and tools to facilitate these connections but are not a party to the actual agreements between users. Indeelancer operates a curated invitation model. Freelancers may only submit proposals to briefs they are invited to, or where a buyer or the platform has opened the brief to verified freelancers. Indeelancer does not guarantee proposal volume.
User Accounts
Registration
To use certain features, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials.
Eligibility
You must be at least 18 years old and legally able to enter into contracts to use our platform. By using our services, you represent that you meet these requirements.
User Conduct
Users must comply with all applicable laws and regulations, respect intellectual property rights, not engage in fraudulent or harmful activities, maintain professional communication, and not attempt to circumvent our platform for direct transactions.
Independent Contractors
Freelancers using the platform act as independent contractors. Nothing in these Terms creates an employment, partnership, agency, or labour hire relationship between Indeelancer and any user.
Payments and Fees
Fees
Indeelancer charges a platform fee to Buyers and a success fee to Freelancers, each currently set at 5% of the relevant transaction amount, unless otherwise explicitly stated on the platform. Any change to platform fees will be communicated clearly on the website prior to taking effect and will not apply retroactively to already-funded milestone amounts. Indeelancer does not charge proposal fees or hidden charges. Fee variations may apply only to enterprise or custom arrangements explicitly agreed in writing.
Payment Processing
Indeelancer facilitates payment processing through third-party payment providers, including Stripe Connect. Indeelancer does not hold, control, or take custody of client funds, and does not operate an escrow or trust service. All payment processing is subject to the terms of the relevant payment provider.
Milestone Payments
Funds paid by Buyers are held securely and released only in accordance with the milestone approval process and applicable review windows defined on the platform. Indeelancer facilitates secure milestone payments but is not a licensed escrow agent and is not a party to the underlying service contract.
Payment Disputes and Chargebacks
Indeelancer provides an internal dispute resolution process for resolving issues relating to milestone payments, work delivery, and refunds. Where a Buyer has a concern regarding a transaction, the Buyer agrees to first use the Indeelancer dispute resolution process before initiating a dispute with their bank or payment provider, except where required by applicable law. If a Buyer initiates a chargeback or payment reversal with their bank or card issuer: Indeelancer may immediately suspend the Buyer's account pending investigation; Indeelancer may provide transaction records, communication history, contract details, and other relevant evidence to the payment processor or card network; and Indeelancer may recover any resulting losses, fees, or reversed transfers from the Buyer where permitted by law. Initiating a chargeback without first attempting resolution through the platform may constitute a breach of these Terms.
Reversal Recovery
Where a chargeback or payment reversal occurs after funds have been transferred to a Freelancer, Indeelancer may seek recovery of the amount from the Buyer and may offset the amount against any balances held on the platform.
Evidence and Cooperation
Users agree to cooperate with Indeelancer and its payment processors in connection with investigations relating to fraud, chargebacks, or payment disputes, including providing relevant communications, files, and information relating to the project.
Intellectual Property
Users retain ownership of their original content and work products. By using our platform, you grant us a limited license to use, display, and distribute your content as necessary to provide our services.
Dispute Resolution
Indeelancer provides a structured, platform-guided dispute resolution process designed to assist Buyers and Freelancers in resolving disputes before milestone funds are released. Dispute reviews are conducted based on documented information available on the platform, including the job brief, milestone definitions, platform messages, submitted deliverables, and evidence provided by the parties. Indeelancer's role is limited to facilitating a procedural review and determining how milestone funds for the disputed milestone should be released, refunded, or otherwise handled in accordance with platform rules. Indeelancer does not guarantee any particular outcome, does not assess subjective quality beyond agreed scope, and is not a party to the service contract between Buyer and Freelancer. Any decision relating to milestone fund release is final for the purposes of the platform but does not prevent either party from pursuing external remedies outside Indeelancer.
Limitation of Liability
Indeelancer is provided "as is" without warranties. We are not liable for indirect, incidental, or consequential damages arising from your use of the platform. Our liability is limited to the maximum extent permitted by law.
Termination
We reserve the right to suspend or terminate accounts for violations of these terms or for any other reason at our discretion. Users may also terminate their accounts at any time.
Modifications
We may modify these terms at any time. Significant changes will be communicated to users, and continued use of the platform constitutes acceptance of the modified terms.
Governing Law
These Terms are governed by the laws of Western Australia, Australia, and the parties submit to the exclusive jurisdiction of the courts of that State.
